Partner Portal Terms of Use

Applies to: partners.dimelegacy.com, covering both delivery partners and referral partners.

This document is an initial legal framework generated from a technical audit of the DLP platform. It is not a substitute for advice from qualified legal counsel and must be reviewed before publication. It is intended to sit alongside, not replace, the individual partner onboarding agreement each partner signs electronically before their account is activated.

1. Who this applies to

This document applies to two types of partner:

• Delivery partners, who execute client work within dockets assigned

to them by DLP.

• Referral partners, who refer prospective clients to DLP using a

unique referral code, and do not deliver project work.

Delivery-type partners may also apply to join DLP's project pool, a list of open dockets available for bid within their approved practice areas.

2. Onboarding and the underlying agreement

Access to the Partner Portal follows DLP's review and approval of your application, and is conditioned on your signing DLP's partner agreement electronically (see our Electronic Signature Disclosure and Consent). If there is any conflict between that agreement and this document, the signed partner agreement governs.

3. Your application attestations

When you apply, you confirm, on a timestamped basis, that:

• The information in your application, including your profile summary,

disclosed current employer(s), and selected practice areas (maximum two), is accurate; and

• You hold the authority, licenses, or permissions required to render the

services you are applying to provide, and you agree to indemnify DLP against any liability, loss, or conflict arising from this engagement should that authority or permission ever be contested.

Disclosing a current full-time or part-time employer does not, on its own, disqualify your application; it is used to help match you to appropriate future work.

4. Scope of access

Your access is limited to what your role requires:

• You see only the dockets assigned to you, or, in the project pool,

dockets open within your approved practice areas.

• You see a client only by reference number, never by company name or

full profile.

• You cannot see other partners, or dockets not assigned or open to you.

• You may upload deliverables only to dockets assigned to you.

5. Confidentiality

Everything you see through a docket, including any client information, document, or communication, is confidential. You must not disclose it to anyone other than DLP, use it for any purpose other than delivering the assigned work, or retain it beyond what is necessary for the engagement. This obligation survives the end of your relationship with DLP.

6. Communication

You communicate about a docket only with the DLP lead assigned to it, not directly with the client, unless DLP specifically arranges otherwise.

7. The project pool and bidding

• A docket may be posted to the pool automatically, after a defined period

with no admin assignment or pool activity, or manually by a DLP admin.

• Pool listings are anonymous: no client identity, no docket title, a

reference number only, and scoped to your approved practice areas.

• You may bid on a pooled docket, or DLP may propose a specific docket to

you directly. In either case, only a DLP admin can accept a bid; negotiation of scope happens offline, and approval happens on the platform.

• **No pricing or fee amount is ever stored, displayed, or negotiated

through the platform.** Where a pricing approach is indicated (fixed fee to be proposed, fixed price, or to be discussed), it governs the workflow only, not an on-platform amount.

8. Delivering work

You provide periodic updates, milestones, and a final submission on the cadence DLP sets for the docket. DLP reviews and approves these. A final submission additionally requires the client's own approval before the docket can be marked complete; the client sees only your final submission, never your periodic updates or milestones.

9. Account status

DLP may restrict, suspend, or terminate your account:

• Restriction keeps your existing assigned work in place but blocks

you from taking on anything new.

• Suspension may be timed or indefinite; you can still sign in but see

a notice-only screen rather than the workspace.

• Termination removes your access entirely.

Where DLP suspends or terminates your account, DLP may notify clients with an ongoing docket assigned to you, using generic wording that does not name you or state the reason. The reason for a status change is recorded internally and is not shared with you or with clients as a matter of course, though it may be discussed with you directly by DLP where appropriate.

10. Acceptable use

Your use of the Partner Portal is also subject to our Acceptable Use Policy, incorporated here by reference.

11. Data protection

Where your work involves personal data belonging to a DLP client or candidate, our Partner Data Processing Addendum applies to that processing, in addition to this document.

12. Termination of these Terms

These Terms apply for as long as you hold an active or restricted Partner Portal account, and end when your account is terminated or you close it. Sections 5 (Confidentiality) and 11 (Data protection) survive termination.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to active partners by email in advance of taking effect.

14. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, without prejudice to any mandatory right available to you under the law of Ghana or Kenya where you are operating as a partner from those jurisdictions.
